Price And Delivery
Please confirm the price and delivery schedule. ARK Electronics must be notified immediately if this order is delayed and/or the requested dock date cannot be achieved.
Quality Management System
All ARK Electronics suppliers must implement a quality management system (e.g., ISO, AS, Quality Manual, etc.).
Risk Management
Suppliers must identify, assess, and mitigate risks associated with their products and services. This includes, but is not limited to, risks related to product safety, counterfeit parts prevention, and supply chain disruptions.
Obsolete And EOL Components
Supplier/vendor agrees to notify ARK Electronics of End-of-Life (EOL) nine (9) months in advance for any product that has been procured through the supplier/vendor in the past. This EOL notice shall be accompanied by the option of a Last Time Buy (LTB) unless otherwise agreed upon between the involved parties. This includes parts and products that are manufactured, distributed, or resold through the supplier/vendor.
Documentation
For all supplied line items, ARK Electronics requires documentation enabling material/product lot/batch traceability, including traceability to any applicable tests, specifications, sources, and certifications identified on the purchase order. A certificate of conformance is required for all raw materials, special processes, or other deliverables when required by ARK Electronics.
Purchase Order Requirements
Supplier/vendor agrees to comply with all purchase order requirements, including:
- Control and monitoring of any special requirements, critical items, or key characteristics.
- Implementation of any test, inspection, or verification activities.
- Use of specific, identified supplier/vendors or approved sources of products and services. Before accepting this purchase order, Supplier/vendor agrees to notify ARK Electronics if statistical techniques are intended for product acceptance purposes.
Nonconforming Parts
Any product known to be nonconforming prior to shipment, including counterfeit product, shall not be delivered to ARK Electronics without written approval. Additionally, Supplier/vendor must notify ARK Electronics if any nonconformities are detected after shipment and potential nonconforming product is returned to ARK Electronics. Supplier/vendor performance will be monitored through ARK Electronics Nonconforming Material Reports.
Vendor Personnel
Vendors must ensure that vendor personnel are aware of:
- How to prevent the use of counterfeit parts.
- Their contribution to product or service conformity.
- Their contribution to product safety.
- The importance of ethical behavior.
Communication and Collaboration
Suppliers must maintain open and transparent communication with ARK Electronics and collaborate effectively to resolve any issues or concerns that may arise during the business relationship.
Packaging
All items must be packaged to prevent damage during shipment. Any ESD or environmentally sensitive material must be packaged to ensure the product will not encounter any damage during transit and storage. Any product damaged during shipment due to the quality or method of packaging shall be the liability of the supplier/vendor and shall be replaced by the supplier/vendor to ARK Electronics.
Monitoring & Measurements
Suppliers must establish processes for monitoring and measuring product characteristics, manufacturing processes, and the performance of the quality management system. This includes calibration of monitoring and measuring equipment and analysis of data to ensure product conformity and process effectiveness.
External Processing
Any work outsourced to a sub-tier supplier/vendor must comply with all requirements in this Purchase Order, including any attachments.
Documentation Retention
Supplier/vendor agrees to retain for a minimum of 10 years all documentation, quality inspection, test results, and all other records relevant to the process applied. After 10 years, the supplier is to reach out to ARK Electronics to confirm how documents should be disposed of.
Process Changes
Supplier/vendor agrees to notify ARK Electronics of changes to processes, products, and services, including changes in the location of manufacture that may affect product quality. Supplier/vendor agrees to notify ARK Electronics of such changes before implementation or before they could affect products and services identified on the purchase order.
Right Of Access
ARK Electronics requires the right of access by ARK Electronics personnel, our customer, and any applicable regulatory authorities to the applicable areas of your facilities and to applicable documented information, relative to work being performed for ARK Electronics or its customer, at any level of the supply chain applicable to the products being sent to ARK Electronics.
Modification And Cancellation
ARK Electronics reserves the right to modify or cancel all or part of this order unless a predetermined Non-Cancellable, Non-Returnable (NCNR) agreement is in place between the involved parties. Delays to the originally agreed schedule will result in the NCNR agreement becoming null and void. Delivery of nonconforming material will also result in the NCNR agreement becoming null and void.
Accordance With Laws
Supplier/Vendor must manufacture the products in accordance with all laws, including, without limitation, any applicable tariffs, customs rules, and/or regulations.
Consideration Of Ecosystems and Environment
Both Supplier and Buyer shall comply with all applicable environmental laws, regulations, and standards in the jurisdictions in which they operate. Supplier and Buyer shall strive to minimize their environmental footprint by implementing sustainable practices, including but not limited to reducing energy consumption, conserving water resources, and minimizing waste generation.
Termination of Contract
ARK Electronics reserves the right to terminate the contract with any supplier that fails to comply with these terms and conditions or demonstrates a pattern of nonconformance that jeopardizes product quality, delivery, or customer satisfaction.
By accepting any purchase order from ARK Electronics, the supplier/vendor agrees to abide by all the terms and conditions outlined herein. Failure to comply may result in termination of the supplier/vendor relationship with ARK Electronics.
